Choosing between Ltd. and A.Ş.
Limited şirket (Ltd.) and anonim şirket (A.Ş.) are common business forms. Ownership, governance and future investment help determine the choice. Minimum capital is TRY 50,000 for an Ltd. and TRY 250,000 for an A.Ş.; payment rules differ.
Activity-specific tax modelling
The general corporate income tax rate is 25%. A 30% rate applies to certain financial institutions and other specified businesses. The model should separately assess the tax base, VAT, outbound payments and eligibility for incentives.
Incorporation and ongoing support
Preparation covers constitutional documents, signing powers, an address and local accounting arrangements. Timing and documentation depend on the owners and activity, including translation and certification of foreign documents.
Banking and cross-border trade
We recommend developing contracts and payment arrangements together: supplier, recipient, settlement currency and supporting evidence. Banking and payment route availability should be checked against the actual counterparties and goods.
Working and living locally
Ownership and working for the company require separate assessments. Personal planning considers the owner’s role, actual presence and the appropriate immigration route before operations begin.

Common questions

Compare governance, capital contributions and investment plans; incorporation cost alone is insufficient.
Does the general tax rate apply to every business?
No. The activity and special provisions can change the calculation.
