A structure for actual operations
Legal form selection starts with ownership, liability, governance and activity. Establish the address, powers, accounting arrangements and local procedures early. Documentation and registration requirements are then assessed for the specific structure.
Corporate tax and the tax base
The standard corporate income tax rate is 10%. It applies to taxable profit rather than all cash inflows. VAT, outbound payments and related-party transactions should be modelled separately.
Euro adoption from 1 January 2026
Bulgaria adopted the euro on 1 January 2026. The conversion rate is EUR 1 = BGN 1.95583. Existing businesses should review monetary amounts in contracts, accounting and payment systems and the conversion of historical figures.
Documentation and ongoing work
Our support plan maps accounting, corporate changes and tax actions. The revenue authority provides for electronic annual corporate tax returns; the company’s precise obligations and deadlines should be recorded in its compliance calendar.
Banking, payments and personal plans
A banking file should connect the activity, counterparties and source of funds. Where relocation is planned, assess the owner’s immigration route and personal tax consequences separately. Incorporation does not replace that assessment.
Before we talk
What helps us get started.
A short overview is enough. We can agree the documents and details after discussing your needs.
- Business model and customers inside and outside the EU
- Ownership and signing authority
- Contracts, accounts and monetary amounts after euro adoption
- Banking needs and the owners’ personal plans
Common questions
Which currency should a new model use?
The current currency is the euro. Historical lev amounts should be reconciled using the fixed conversion rate.
Does 10% represent the entire tax cost?
It is the standard corporate tax rate. VAT, distributions and personal taxes need separate analysis.
